Terms governing your use of the Coordify Platform

1. Definitions and Interpretation

In these Terms and Conditions (“Terms”):

  • “We”, “Us”, “Our” means Eleven Star Labs Ltd, trading as Coordify, a company registered in England and Wales (Company No. 16144963) with its registered office at 151 Stafford Road, SM6 9BN.
  • “You”, “Your” means any person, company, or organisation using the Coordify Platform, whether as a property manager, tenant, maintenance provider, security team, council, or other authorised user.
  • “Platform” means the Coordify mobile application, website, and associated services operated by Eleven Star Labs Ltd.
  • “Services” means the digital tools, systems, and functions provided through the Platform, including but not limited to property management, maintenance coordination, communication tools, document storage, booking features, and marketplace functionality.

By accessing or using the Platform, You agree to be bound by these Terms.

2. Acceptance of Terms

Use of the Platform constitutes acceptance of these Terms.

If You do not agree, You must not use Coordify.

We reserve the right to update or amend these Terms from time to time. The latest version will always be available on our website. Continued use of the Platform following changes constitutes acceptance of the revised Terms.

3. Scope of Services

Coordify provides a platform that enables:

  • Communication between property managers, tenants, councils, maintenance and security providers;
  • Management of properties, bookings, inspections, and maintenance requests;
  • Secure sharing of documentation and compliance records;
  • A marketplace allowing property managers to list and sell approved items (e.g., furnishings, bedding) to tenants.

We do not act as an agent, landlord, tenant, or intermediary in any tenancy, contract, or sale. All contractual relationships created through the Platform are strictly between the relevant users.

4. User Accounts and Responsibilities

To access certain Services, You must register and maintain an active account. You agree to:

  • Provide accurate, current, and complete information;
  • Maintain the confidentiality of login credentials;
  • Notify Us immediately of any unauthorised access or security breach;
  • Ensure that all use of Your account complies with applicable law and these Terms.

We reserve the right to suspend or terminate any account in cases of suspected misuse, unauthorised activity, or breach of these Terms.

5. Fees and Payments

Some features of the Platform may be subject to fees or subscription charges.

  • All fees are clearly stated prior to payment and are exclusive of VAT unless otherwise stated.
  • Payments for items listed on the Platform are processed through secure third-party payment providers (e.g., Stripe).
  • Coordify acts solely as a facilitator for these transactions and is not a party to any sales contract between a property manager and a tenant.
  • Refunds, returns, or disputes regarding listed items must be directed to the seller.

6. User Obligations

You agree not to:

  • Use the Platform for unlawful or fraudulent purposes;
  • Upload or distribute content that is defamatory, obscene, offensive, or infringes third-party rights;
  • Interfere with the security or integrity of the Platform;
  • Attempt to gain unauthorised access to other users’ data or systems;
  • Misrepresent Your identity, role, or authority when using the Platform.

We may remove content, restrict functionality, or suspend access if these obligations are breached.

7. Data Protection and Privacy

All personal data collected through the Platform is processed in accordance with our Privacy Policy, which complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

By using the Platform, You consent to such processing and warrant that all data provided is accurate and lawful to share.

8. Intellectual Property Rights

All intellectual property rights in the Platform, its software, design, and content (including trademarks, trade names, and logos) are owned or licensed by Eleven Star Labs Ltd.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended business purpose.

You may not:

  • Copy, modify, or create derivative works of the Platform;
  • Reverse-engineer or decompile the software;
  • Use any Coordify branding without written consent.

9. Third-Party Services

The Platform may integrate with or contain links to third-party services such as cloud hosting (AWS), payment processors, and analytics providers.

We do not control or endorse these third parties and are not liable for their content, terms, or privacy practices. Your use of third-party services is at Your own risk.

10. Availability and Maintenance

We aim to ensure that Coordify is available and operates efficiently.

However, We do not guarantee uninterrupted access and may suspend or restrict access temporarily for maintenance, upgrades, or unforeseen technical issues.

We will not be liable for any loss arising from downtime or technical interruptions.

11. Limitation of Liability

To the fullest extent permitted by law:

  • •We exclude all implied warranties, conditions, and representations.
  • •We are not liable for any indirect, consequential, or economic loss, including loss of profit, data, or goodwill, arising from the use of the Platform.
  • •Our total liability in respect of any claim shall not exceed the total amount paid by You for use of the Services in the 12 months preceding the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

12. Termination

We may suspend or terminate Your account without notice if:

  • You breach these Terms;
  • We reasonably suspect fraudulent or unlawful activity;
  • Continuation of service would violate any law or regulatory requirement.

Upon termination, Your right to use the Platform ceases immediately. Certain clauses (e.g., Intellectual Property, Limitation of Liability, Governing Law) will continue to apply.

13. Indemnity

You agree to indemnify and hold harmless Eleven Star Labs Ltd, its directors, employees, and affiliates from any claims, losses, or damages arising from:

  • Your breach of these Terms;
  • Your misuse of the Platform;
  • Any content or data submitted by You that infringes third-party rights or applicable law.

14. Changes to the Terms

We may update these Terms periodically to reflect changes in law, technology, or business operations.

Where changes are material, We will provide reasonable notice via email or in-app notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
